The successful candidate will offer legal advice to meet the needs of EP's corporate affairs, coordinating and preparing for the EP participation files in bidding rounds, and organizing and coordinating multidisciplinary projects with a relevant legal aspect.

 

 

KEY RESPONSIBILITIES:

 

  • Legal support on corporate affairs of E&P entities (companies’ constitutions, branch openings, alterations to the share capital, liquidations, mergers etc.).
  • Corporate secretarial support of the daily activity of E&P affiliates (i.e., Board of Director or shareholders meetings) and statutory compliance advice.
  • Organizing, drafting and review of all powers of attorney and proxies needed for the smooth management of E&P operations.
  • Legal advice on corporate matters.
  • Managing a central record of the statutory records and minutes books of E&P affiliates.
  • Assistance on the organization of CEPSA participation in bidding rounds.
  • Assistance on the organization and coordination of transversal E&P projects with a relevant legal aspect (i.e. entering a country, organizational restructuring, closure of business in a certain region)
  • Legal assistance to tax audit processes in E&P companies.
  • Legal assistance to CEPSA intragroup affairs including the drafting and or review of any required contract or document, as well as any other corporate assistance required by the Horizontal Functions or E&P divisions.
  • Assistance in data rooms and due diligence processes.
  • Coordinating with any legal external advisor providing ad hoc assistance.

 

 

REQUIREMENTS

 

  • University degree in Law.
  • More than 5 years of legal experience in the Oil&Gas Business.
  • High level of English language required. Knowledge of French and Spanish language will be positively valued.
  • The position will be based in Madrid.
